Contract, agreement and the first essentials of a valid contract in business law: excerpt from page 32 of the BBA 201 notes
Excerpt from page 32
The Indian Contract Act, 1872
Every day we make contracts: buying a mobile, booking a cab, joining a job or taking a loan. The Indian Contract Act, 1872 decides which promises a court will enforce. It came into force on 1 September 1872 and applies to the whole of India. The Sale of Goods Act, the Partnership Act and the Companies Act all build on it.
Meaning of contract
Section 2(h) says: "An agreement enforceable by law is a contract." So, contract = agreement + enforceability by law. Every contract is an agreement, but not every agreement is a contract. Only agreements that a court can enforce become contracts.
Key definitions in Section 2
- Proposal or offer, 2(a): one person signals willingness to do or not do something, to get the other's assent.
- Acceptance, 2(b): the other person signals assent; an accepted proposal becomes a promise.
- Consideration, 2(d): something in return, an act, abstinence or promise, done at the desire of the promisor.
- Void agreement, 2(g): an agreement not enforceable by law. Voidable contract, 2(i): enforceable at the option of one party only.
Agreement = offer + acceptance. A plan to go to a movie with a friend is a social agreement, not a contract.
Essentials of a valid contract
Section 10 says all agreements are contracts if they are made by the free consent of parties competent to contract, for a lawful consideration and with a lawful object, and are not expressly declared void. The first three essentials are:
- Offer and acceptance: a lawful offer and an absolute, unconditional, communicated acceptance. An offer may be specific or general. In Carlill v. Carbolic Smoke Ball Co. (1893), anyone who met the conditions of an advertised offer accepted it.
- Intention to create legal relations: social and domestic agreements are not contracts. In Balfour v. Balfour (1919), a husband's promise of a monthly allowance to his wife was held to be a domestic arrangement.
- Lawful consideration: each party must get something in return. "No consideration, no contract" (Section 25), with a few exceptions such as a promise made out of natural love and affection.

How to write BBA 201 answers: section numbers, case laws and Indian examples in law and environment answers
Unit 1 and Unit 2 answers are about concepts, so marks come from points backed by Indian examples. Unit 3 and Unit 4 answers are about Acts, so marks come from the right section number and a leading case. The notes print three exam tips on this:
- Importance questions (page 7): six to eight points, each with an Indian example such as UPI or GST.
- "Impact of laws" questions (page 29): use an operation, law, effect chain, for example production, Factories Act or OSH Code, safety and working hours. A small table saves time.
- Environmental responsibility (page 64): mix legal duties (EPA, EPR) with voluntary steps (ISO 14001, BRSR) and two company examples.
For Unit 3, quote the section first and name one case per rule, like Mohori Bibee v. Dharmodas Ghose for a minor's agreement.
Worked example: "Distinguish between micro and macro environment."
- Define both in one line: micro is the task environment close to the firm; macro is the general environment that affects all firms.
- Give a three-row difference: forces (suppliers, customers, competitors, intermediaries, financiers, publics vs PESTEL), control (partly influenced vs uncontrollable), reach (one firm vs every firm).
- Close with one Indian example of each.

How do I get the full BBA 201 notes?
Tap the "Get Full Notes" button or the WhatsApp box at the end of this page and send the prefilled message. The full BBA 201 notes come only as a 67-page printed book, not as a PDF; our team confirms price, payment and delivery in the chat. Open the sample PDF first to see one real page from each of the four units.
Do the BBA 201 notes use the new Labour Codes or the old labour Acts?
Both. The official BBA 201 syllabus still names the Industrial Disputes Act, 1947, the Factories Act, 1948 and the Minimum Wages Act, 1948, so the notes teach those three Acts in full. Next to them, the notes explain the four Labour Codes that came into force in November 2025 and note where a limit changed, such as the 100-worker retrenchment rule rising to 300.
Which BBA 201 unit is the longest?
Unit 3, Core Business Laws, is the longest BBA 201 unit. It runs from page 31 to page 51, has 16 sections and 11 tables, and lists 23 exam questions. The official scheme also gives it 20 of the 60 teaching hours. It covers four Acts at once: Contract, Companies, Sale of Goods and the three labour Acts, so start your revision there.
Are the BBA 201 notes for the new NEP scheme?
Yes. The BBA 201 notes follow the revised GGSIPU BBA Scheme and Syllabus (NEP Based), w.e.f. 2024-25, which applies to students admitted from 2024-25 onwards. In this scheme BBA 201 is a Semester 3 Discipline Specific Course of 4 credits. Older BBA schemes taught business environment and business laws as separate papers, so check your batch before you study.
What are the passing marks for BBA 201?
BBA 201 is marked out of 100: 40 internal and 60 end-term, as the GGSIPU BBA scheme states. The scheme of examination does not print a pass percentage for the paper. Minimum marks for the end-term, the overall pass rule and re-appear rules come from GGSIPU Ordinance 11 on ipu.ac.in, so check the latest Ordinance or your institute before you count on a figure.
Does BBA 201 cover the IT Act and cyber crime?
Yes. Unit 4 of BBA 201 covers the Information Technology Act, 2000: e-records and e-signatures, click-wrap and browse-wrap e-contracts, the role of CERT-In, civil liability under Section 43 and offences from Section 65 to 72A, including identity theft and phishing under 66C and 66D. A case study on fake customer-care fraud shows how these sections apply in real life.
