- Unit 1: "Freedom to carry on business is a fundamental right but not an absolute right." Discuss. Pointer: Article 19(1)(g), the three heads of Article 19(6), and State Trading Corporation vs R. C. Cooper on who can claim it.
- Unit 2: Explain the modes of discharge, with special reference to frustration. Pointer: Section 56 and Satyabrata Ghose; a rise in cost alone is not frustration.
- Unit 3: Discuss the appointment, powers, duties and liabilities of directors. Pointer: Sections 149, 152, 161, 164, 166 and 179-180.
- Unit 4: What is a cartel? Pointer: Section 2(c) of the Competition Act; a horizontal agreement presumed to harm competition.

Who writes and checks the BBA 319 startup law notes?
- Sheetal Kirola, Academic Head, Unnati Educations. Author and reviewer of these notes. M.Ed., 7 years of experience. Read her profile.
Every BBA 319 unit was mapped to the BBA scheme for session 2024-25. The 2026-27 edition writes the laws now in force: the Consumer Protection Act, 2019, the four Labour Codes and the MSME limits revised from 1 April 2025. Last updated 14 October 2026; see our editorial policy. The same team prepares GGSIPU important questions for every course.
How to write BBA 319 answers: section numbers, case laws and court-pyramid diagrams
BBA 319 is a law paper, so a strong answer reads like a short legal note: define the term, quote the section, add one case law and draw the diagram. The notes print 19 diagrams, from the court pyramid in Unit 1 to the four pillars of the Competition Act in Unit 4, and each long-answer plan names the figure to draw.
The notes label long answers "12.5 marks" and short answers "2.5 marks". The official BBA PDF prints only the 60-mark end-term total, not the question pattern, so read the instructions on your own paper before you plan your time.
Worked example (exam tip, page 35): "Discuss the remedies for breach of contract."
- Meaning of breach: actual and anticipatory (Section 39).
- Five remedies with sections: rescission, damages (Sections 73-74), quantum meruit, specific performance, injunction.
- A table of kinds of damages: ordinary, special, exemplary, nominal, liquidated.
- The remoteness rule in Hadley v. Baxendale and the duty to mitigate.
- Conclusion, with Figure 2.3 drawn beside the remedies.
Two mistakes the notes flag are easy to avoid. The syllabus still names the Consumer Protection Act, 1986, which the 2019 Act replaced from 20 July 2020 (pages 21 and 78). It also names an "MSME Act, 2002"; the correct law is the MSMED Act, 2006 (page 63). Name the older Act once, then write the current one.
For Unit 4 the notes give one pattern for each law: law, objective, key provisions, enforcement, case. Practise this format on GGSIPU BBA important questions.
BBA 319 and the GGSIPU BBA Sem 5 papers it connects to
BBA 319 has no lab, so the BBA 319 Legal & Regulatory Framework of Startup IPU notes are theory only; every paper is listed in the GGSIPU BBA syllabus.
In Semester 5 it sits beside the core paper BBA 301 Financial Management, BBA 325 Information Systems Management Lab, BBA 327 Summer Training, and the electives BBA 303 Negotiation Skills, BBA 305 Leadership, Power and Politics, BBA 307 Services Marketing, BBA 309 Rural Marketing, BBA 311 FinTech, BBA 313 Goods & Services Tax, BBA 315 Export, Import Policies, Procedures and Documentation, BBA 317 International Business Negotiation and BBA 321 Global Entrepreneurship.
- Unit 4 public offers of shares → BBA 301 Unit II, sources of long-term finance.
- Unit 3 business forms and Unit 4 investor law → BBA 321 Unit III, venture capital and angel funding.
- Unit 3 company-law penalties → BBA 313 Unit IV, GST offences and penalties.
- Unit 2 contract essentials → BBA 311 Unit II, smart contracts.
Incorporation of a private company in startup law: excerpt from page 57 of the BBA 319 notes
Excerpt from page 57
Incorporation is the registration of a company under the Companies Act, 2013. Once registered, the company becomes a legal person of its own. The people who think of the idea and take the steps to form it are its promoters under Section 2(69); in a startup, these are usually the founders. The whole process now runs online on the MCA portal through one integrated web form, SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus).
Steps in incorporation (Section 7)
- Get a Digital Signature Certificate for the proposed directors and subscribers.
- Reserve the name through SPICe+ Part A. It must not match an existing company or trademark and must end with "Limited" or "Private Limited".
- Draft the MoA and AoA as e-MoA (INC-33) and e-AoA (INC-34).
- File SPICe+ Part B with the MoA, AoA, declarations, office proof, identity proofs and directors' consent. The same form allots DIN, PAN and TAN and, through AGILE-PRO-S, applies for EPFO, ESIC, an optional GSTIN and a bank account.
- Pay the fees and stamp duty online.
- The Registrar issues the Certificate of Incorporation with a Corporate Identity Number. It is conclusive proof that the requirements were met (Section 7(2)).
- File INC-20A within 180 days (Section 10A) to confirm that subscribers have paid for their shares. Without it the company cannot do business or borrow, and the ROC may strike off its name.
- Set up and verify the registered office within 30 days (Section 12).
Pre-incorporation contracts
A lease or a server bought by promoters before incorporation does not bind the company, because it did not exist yet; the promoters are personally liable. Under Sections 15 and 19 of the Specific Relief Act, 1963, the company can enforce or be bound by such a contract if its incorporation terms allowed it and it adopts the contract after incorporation and tells the other party.

BBA 319 startup law notes FAQs
What is the passing mark for BBA 319?
BBA 319 is marked out of 100: 40 internal and 60 end-term, as the BBA scheme of examination (w.e.f. 2024-25) states. That PDF does not print a pass percentage for individual papers, so we do not quote one. End-term minimums, re-appear and result rules come from Ordinance 11 on ipu.ac.in; check it, or ask your college, before relying on any figure.
Does BBA 319 have a practical or lab paper?
No. BBA 319 is a theory paper with L-4, T-0 and 4 credits, so there is no practical exam or lab file attached to it. The Semester 5 lab in the BBA scheme is BBA 325 Information Systems Management Lab, a separate paper. For BBA 319, the 40 internal marks come from a class test plus activities such as assignments, presentations or a viva.
Do the BBA 319 notes follow the Consumer Protection Act, 1986 or 2019?
The BBA 319 notes teach the Consumer Protection Act, 2019, because it replaced the 1986 Act from 20 July 2020. The syllabus still prints the 1986 Act, so the notes advise naming the old Act in one line and then writing the 2019 provisions: six consumer rights, the CCPA, product liability, e-commerce rules and the three-tier Consumer Commissions.
Which BBA 319 unit has the most long-answer questions?
Unit 3, Laws Governing Business Forms, has the most: 7 of the 24 long-answer questions in the BBA 319 notes. They cover business-form comparison, partnership, partners' liability, company incorporation, MoA and AoA, directors, compliances and the MSMED Act. Units 2 and 4 have 6 each and Unit 1 has 5. Every unit also has 6 short answers.
Can I take BBA 319 as a major or a minor elective?
Yes. BBA 319 is in the Semester 5 elective list under Entrepreneurship Development, and the scheme lets those papers fill a Major Elective (Discipline Specific Course) or Minor Elective (Inter-disciplinary Course) slot. Whether your college runs BBA 319 is its call; the scheme says electives are offered at the discretion of the college or university, so confirm with your department first.
