Annual report vs financial statements in corporate reporting: excerpt from page 61 of the BBA 316 notes
Excerpt from page 61
Two documents that students often treat as one
Financial statements are the formal statements of a company's financial position, performance and cash flows: the Balance Sheet, Statement of Profit and Loss, Cash Flow Statement, Statement of Changes in Equity and the Notes. An annual report is the wider document that contains these statements plus many other reports.
The last part of the annual report's contents list shows how much sits around the numbers. Besides the standalone and consolidated statements, it carries the Secretarial Audit Report in Form MR-3 under Sec. 204, the independent auditor's report under Sec. 143 with the CARO 2020 annexure, Form AOC-2 on material related-party contracts under Sec. 188, and the annual report on CSR under Sec. 135.
The point-by-point comparison
| Basis | Financial statements | Annual report |
|---|---|---|
| Scope | Narrow: quantitative financial data only | Wide: financial and non-financial, past and future |
| Contents | Balance Sheet, Profit and Loss, Cash Flow, SoCE, Notes | Financial statements plus Board's report, MD&A, governance report, BRSR, auditor's report, chairman's letter |
| Governing law | Sec. 2(40), Sec. 129, Schedule III, AS / Ind AS | Companies Act, SEBI LODR, plus voluntary practice |
| Nature | Historical and numbers-based | Historical plus forward-looking and narrative |
| Audit | Fully audited | Only the financial statements are audited; other parts are reviewed for consistency |
| Users | Mainly investors and creditors | All stakeholders, including employees, society and regulators |
| Format | Prescribed by Schedule III | Flexible, with design, charts and photographs |

How to use it in the exam
The syllabus line for Unit IV names this comparison directly, so have at least six points ready in table form. Open with a one-line definition of each document, then move to the table. A strong answer also names one or two items that appear only in the annual report, such as the Secretarial Audit Report in Form MR-3 or the CSR report, with the section that requires each.

Verify it against the official GGSIPU BBA Scheme & Syllabus (revised, w.e.f. 2024-25), printed pages 144 to 146. The BBA 316 Corporate Accounting IPU notes also apply the syllabus rule that revised standards apply, so the 2019 DRR rule is used throughout.
Every course in GGSIPU notes is mapped to its official PDF the same way.
How to write BBA 316 answers: journal entries with narration, working notes and Schedule III statements
Answers earn step marks, so layout matters. Five rules from the notes:
- Narration under every entry, in brackets, with a working note for each adjustment (page 7).
- No Trading Account in Schedule III answers; proposed dividend goes in a note, not current liabilities (page 35).
- End every cash flow with a check: opening cash plus net increase equals closing cash (page 37).
- Consolidation order: analysis of profits, cost of control, minority interest, consolidated reserves, adjustments, balance sheet (page 42).
- Quote the current DRR rule: listed companies exempt, unlisted 10%, 15% invested by 30 April. The old 25% rule costs marks (page 17).
Worked example: splitting profit around incorporation (pages 21 to 22)
Sunrise Ltd. took over a business from 1 April 2025, was incorporated on 1 August 2025 and closed on 31 March 2026. Time ratio 1 : 2; sales ratio 1 : 3 (₹3,00,000 of ₹12,00,000).
Gross profit of ₹3,60,000 follows sales: ₹90,000 pre, ₹2,70,000 post. Salaries of ₹48,000 follow time: ₹16,000 pre, ₹32,000 post. Directors' fees go wholly post. Result: ₹52,500 pre-incorporation profit to Capital Reserve and ₹1,75,500 post-incorporation profit, which add back to the total of ₹2,28,000.
