Minimum Alternate Tax and book profit in corporate tax: excerpt from page 27 of the BBA 421 notes

Excerpt from page 27

Why MAT was brought in

Many companies showed large book profits and paid big dividends, yet paid little or no income tax. Exemptions, deductions, accelerated depreciation and incentives pulled their taxable income close to zero. These were called zero-tax companies. To make them pay at least a minimum tax, the Minimum Alternate Tax was introduced, first under Sec. 115J in 1987 and now under Sec. 115JB.

The rule in one line

If the income tax a company pays on its total income under the normal provisions is less than 15% of its book profit, the book profit is treated as its total income and tax is charged at 15%, plus surcharge and cess. For domestic companies this works out to an effective MAT rate of 15.6% when book profit is up to Rs 1 crore, 16.692% between Rs 1 crore and Rs 10 crore, and 17.472% above Rs 10 crore.

Who it applies to

  • All companies, domestic and foreign. A foreign company without a permanent establishment in India, or with income only from specified sources, is excluded.
  • It does not apply to companies that opt for Sec. 115BAA or Sec. 115BAB, to life insurance business income, or to shipping companies under the tonnage tax scheme.
  • Units in an International Financial Services Centre pay MAT at a concessional 9%.
  • The company must get a Chartered Accountant's report in Form 29B certifying the book profit.

Where the computation starts

The tax computation for a company follows a fixed order: net profit as per the Statement of Profit and Loss, PGBP adjustments, income under the other heads to reach gross total income, Chapter VI-A deductions to reach total income, and tax at the company rate with surcharge and cess. Only then is MAT worked out at 15% of book profit, for a company outside Sec. 115BAA and Sec. 115BAB. The company pays the higher of normal tax and MAT, and gets MAT credit when MAT is higher.

Book profit itself is the net profit in the Statement of Profit and Loss prepared under the Companies Act, increased by certain items debited to it (such as income tax, transfers to reserves and provisions for unascertained liabilities) and reduced by certain items credited to it (such as amounts withdrawn from reserves and exempt incomes). The notes set these out item by item in an add/less table that continues on the next page.

Do the BBA 421 notes cover the full GGSIPU syllabus?

Yes. Every topic in the official BBA 421 course content has its own section in the notes; we found no gap. These BBA 421 Corporate Taxation IPU notes were matched line by line. Filing "through software" is explained as an e-filing procedure, not a software tutorial.

How to write BBA 421 answers: step-wise tax computations, section-cited planning notes and comparison tables

BBA 421 answers are either company tax computations or planning and comparison answers. The notes give a layout for each through their exam tips and common-mistake boxes.

Computations (page 16). Show in order: residential status if facts are given, income under each head, set-off, gross total income, deductions with section numbers, total income, then tax with surcharge and cess on separate lines. Neat working notes earn marks even if one figure slips. For a company, add a last line comparing normal tax with MAT where the facts allow it.

Three errors to avoid. Chapter VI-A deductions come off gross total income, never off a head (page 6). Surcharge slabs depend on total income, and cess is charged on tax plus surcharge (page 14). MAT is not added to normal tax; the company pays the higher of the two (page 28).

Planning and comparison answers. For planning, avoidance and evasion: definitions, a three-column table, the McDowell and Azadi Bachao cases, a line on GAAR, then a conclusion (page 26). For a new business: three sub-headings, form, location and nature (page 34). For amalgamation, demerger, slump sale and firm conversion: a four-column table of definition, conditions, tax benefits with sections, and the effect of a breach (page 44).

Worked example (page 16). P Ltd. receives a Rs 20 lakh dividend from its subsidiary and pays Rs 15 lakh to its own shareholders before the due date. The Sec. 80M deduction is the lower figure, Rs 15 lakh, so only Rs 5 lakh is taxed in P Ltd.'s hands. In the exam, name the section, state the "lower of" rule, show both figures and end with the taxable amount.

The BBA 421 notes list 28 short-answer and 25 long-answer exam questions across 4 units, plus 23 solved illustrations. They are practice questions answered through the unit text, not a separate key. One per unit:

  1. Explain "Place of Effective Management". Where key decisions are in substance made; Rs 50 crore turnover threshold; the Singapore company run from Gurugram (pages 8 and 9).
  2. Differentiate tax planning and tax management. Planning is optional and future-facing; management is compulsory compliance (pages 24 and 25).
  3. What is a slump sale? How is net worth computed? Lump-sum transfer under Sec. 2(42C); tax WDV for depreciable assets, revaluation ignored, Form 3CEA (pages 42 and 43).
  4. Bilateral (Sec. 90) versus unilateral (Sec. 91) relief. Sec. 90 works through a DTAA; Sec. 91 applies without one, to residents, at the lower average rate (pages 50 and 51).

BBA 421 tax notes FAQs

How do I get the full BBA 421 notes?

Send a WhatsApp message to 9899436384 with the code BBA 421. The full notes come only as a printed book of 58 pages; they are not sold as a PDF. Delivery takes a maximum of 5 to 7 days, and the exact time depends on your location.

What are the passing marks for BBA 421 Corporate Taxation?

BBA 421 is marked out of 100: 40 internal marks and 60 end-term marks. The BBA syllabus PDF does not print a pass percentage, so we do not state one. Minimum end-term marks and the rules for re-appearing are set by the university's Ordinance 11 on examinations, which is published on ipu.ac.in. Check it before planning your exam.

Are the BBA 421 notes updated for the Income-tax Act, 2025?

Yes. Explanations use 1961 Act section numbers such as Sec. 6, 80C and 115BAA, because question papers and standard books still use them. Each unit opens with a law-update box on the Income-tax Act, 2025, in force from 1 April 2026, and its single "Tax Year". Rates are for FY 2025-26 and Tax Year 2026-27.

Is BBA 421 compulsory in BBA Semester 7?

No. BBA 421 is one of three Finance electives in Semester 7 of BBA (Hons.), with BBA 417 and BBA 419. A student picks three electives, two from the major specialisation and one from the minor, so BBA 421 can count as either. Electives run only if your college or the university chooses to offer them that year.

Which BBA 421 unit has the most solved illustrations?

Unit 1, with 8: residential status of a first-time visitor, POEM, HRA, block depreciation, LTCG on listed shares, a full company computation under normal provisions and Sec. 115BAA, set-off of losses, and Sec. 80M. Unit 3 follows closely with 7, all built around business decisions such as make or buy, own or lease and slump sale.

Do the BBA 421 notes include MAT and transfer pricing numericals?

Yes. Unit 2 works out book profit of Rs 8.30 crore for Q Ltd. and its MAT, then shows Z Ltd. paying MAT over normal tax and carrying forward MAT credit of Rs 66,76,800. Unit 4 has a Rs 20 lakh CUP adjustment and a Sec. 91 relief computation for income from a country without a DTAA.
