Value Highlights

BCOC 135 Solved Guess Paper 2026 gives you 14 exam ready answers spanning every one of the five Company Law blocks.
Each answer opens with a textbook definition, moves into numbered points, and closes with a conclusion examiners reward.
Question selection came from reading six actual term end papers, June 2023 to December 2025, not recycled question banks.
Case law is written in exam form with names and years, so Salomon, Turquand and Erlanger can be cited without hesitation.
Word targets match the marks: about 450 words for 20 marks, 250 for 10 marks and 150 for 5 marks, so timing holds up.
A frequency table shows which Company Law topics repeated across six papers and which ones are overdue in 2026.
Plain readable English throughout, so a working student can revise one full 20 mark answer in about fifteen minutes.
Five complete answers sit on this page, so you judge the writing quality yourself before messaging 9899436384.

Course Overview

BCOC 135 Solved Guess Paper 2026 is a sixteen page PDF built to do one job, which is to carry you through the Company Law term end examination without reading all twenty units twice over. It holds fourteen questions with complete written answers, mapped block by block, and not one of those questions was chosen by instinct.

Company Law is not a paper you can talk your way through. The examiner is looking for a definition first, then a section number or a decided case, then a clean numbered list, then a conclusion that actually concludes. Plenty of students lose marks here despite knowing the topic, simply because they wrote three loose paragraphs where the paper wanted six labelled points.

You are not being asked to trust us blindly. Five of the fourteen answers are printed in full further down this page, one drawn from each block. Read them, judge the language, then decide whether the remaining nine are worth an enquiry.

What the BCOC 135 Solved Guess Paper 2026 Covers Across All Five Blocks

The pack contains fourteen full length answers covering all five blocks of BCOC 135 Company Law, written for the June 2026 and December 2026 term end examinations. Nine of those fourteen are marked HIGH priority, which means the topic either repeated four or more times in the last six papers or has been absent long enough to be due.

The table below is the actual contents list of the file. Every row names the exact question, the block and unit it belongs to, and the sessions in which that topic last surfaced. Nothing here is padding.

Sample Questions with Answers from the BCOC 135 Company Law Guess Paper

Five complete answers are reproduced below, one from each block of BCOC 135, in the same wording used inside the PDF. They are numbered Sample 1 to Sample 5 here for readability, with the original question number shown beside each so you can place them in the file.

Read at least two of them end to end. The point is not the topic, it is the shape of the answer, because that shape is what a Company Law evaluator scans for before deciding on marks.

Sample 1Q1 in the file20 marksBlock 1

Nature of a Company and Lifting of the Corporate Veil

Exam question: "A company is an artificial person created by law with a perpetual succession and is different from the members constituting it." Comment. Also explain when the corporate veil can be lifted.

Meaning of a company. A company is a person, artificial, invisible, intangible and existing only in the eyes of law. Lord Haney describes it as an incorporated association which is an artificial person created by law, having a separate entity, a perpetual succession and a common seal. Section 2(20) defines a company as one incorporated under the Act or under any previous company law.

Main features of a company.

  1. Creation of law: it exists only on registration, with a minimum of two members for a private company and seven for a public company.
  2. Artificial person: created by law rather than born, yet clothed with rights and obligations.
  3. Separate legal entity: distinct from its members, settled in Salomon v. Salomon & Co. Ltd. (1895 to 1899).
  4. Limited liability: a member is liable only for the unpaid value of shares or the amount guaranteed.
  5. Separate property: a shareholder has no insurable interest in company property, held in Macaura v. Northern Assurance Co. (1925).
  6. Perpetual succession: members may come and go, but the company continues uninterrupted.
  7. Transferability of shares: shares of a public company are freely transferable under Section 58.
  8. Common seal: the official signature of the company, made optional by the Amendment Act, 2015.
  9. May sue and be sued: as a juristic person it litigates in its own name.

Lifting the corporate veil. Prof. Gower observes that when the law disregards the corporate entity and looks at the individual members behind the legal faรงade, the veil is said to be lifted. Courts do this where incorporation has been used for fraud or dishonesty.

The grounds fall under two heads. The first is express statutory provisions, such as misstatement in a prospectus, failure to return application money and misdescription of the company name. The second is judicial interpretation, covering fraud, enemy character, and evasion of tax or of existing obligations.

Conclusion. A company is therefore an artificial legal person with a distinct identity, limited liability and perpetual succession. Only where incorporation is turned to fraud or dishonesty does the law pierce the veil to reach the persons standing behind it.

Sample 2Q4 in the file20 marksBlock 2

Memorandum of Association, Meaning and Clauses

Exam question: What is the meaning and purpose of Memorandum of Association? Explain the various clauses which are included in the Memorandum of Association. (5 + 15)

Meaning and purpose. Palmer describes the memorandum of association as a document of great importance in relation to the proposed company, one that defines as well as confines the powers of the company. Defined in Section 2(56), it is the charter and constitution of the company.

In Ashbury Railway Carriage & Iron Co. v. Riche (1875), Lord Cairns held that the memorandum states affirmatively what the company may do and negatively that nothing beyond shall be done. Anything ultra vires the memorandum is void. It lets shareholders, creditors and outsiders know the permitted range of activity before they commit money.

Clauses of the memorandum.

  1. Name clause: states the name ending with Limited or Private Limited, and the name must not be undesirable or identical to an existing one.
  2. Registered office clause: states the State in which the registered office sits, which fixes the company's domicile.
  3. Objects clause: states the objects for which the company is incorporated, and any act beyond these is ultra vires and void.
  4. Liability clause: states whether liability is limited by shares, meaning the unpaid amount, or by guarantee, meaning the amount guaranteed.
  5. Capital clause: states the authorised share capital and its division into shares of a fixed amount.
  6. Association or subscription clause: subscribers declare their desire to be formed into a company, each writing the number of shares taken against his name, with seven signatories for a public company, two for a private company and one for an OPC.

Conclusion. The memorandum is the foundation document that defines a company's identity and powers through these six clauses. It can be altered by special resolution under the Act, yet it remains the charter that confines the company's scope of activity.

Sample 3Q7 in the file20 marksBlock 3

Kinds of Shares and Types of Preference Shares

Exam question: What are the different kinds of shares that a company can issue? Explain equity shares and the various types of preference shares. (8 + 12)

Meaning of a share. A share is a share in the share capital of a company and includes stock. It represents a bundle of rights and obligations, an interest measured by money. Under Section 43, a company limited by shares may issue only two kinds of shares, equity shares and preference shares.

Equity shares. Equity shares are those which are not preference shares. They carry no fixed dividend, and once preference shareholders are satisfied the equity holders share the remaining distributable profits. Every equity shareholder may vote on every resolution, the voting right being proportionate to paid up equity capital. Equity shares may carry ordinary voting rights or differential rights as to dividend or voting.

Preference shares. Preference shares carry two preferential rights: a preferential dividend at a fixed amount or rate during the life of the company, and priority in repayment of capital on winding up.

Types of preference shares.

  1. Participating and non participating: participating shares share surplus profits and assets with equity holders after a fixed dividend. Where the articles are silent, shares are non participating.
  2. Cumulative and non cumulative: cumulative shares carry unpaid dividend forward to future years, non cumulative shares do not. Shares are treated as cumulative unless stated otherwise.
  3. Redeemable and irredeemable: under Section 55 no irredeemable preference shares may be issued, and redeemable shares are redeemed within twenty years, extended to thirty years for infrastructure projects.

Conclusion. A company limited by shares issues only equity and preference shares. Equity carries a variable dividend with full voting rights, while preference shares enjoy priority in dividend and repayment and are classified as participating, cumulative or redeemable.

Sample 4Q13 in the file20 marksBlock 4

Company Meetings, Resolutions and Quorum

Exam question: Discuss the different kinds of company meetings. Explain the various types of resolutions and the rules regarding quorum.

Kinds of company meetings. Decisions of members at a general meeting are expressed by way of resolutions, a resolution being a definite proposal in the form of a motion, discussed and passed by the requisite majority.

  1. Meetings of shareholders: the annual general meeting, the extraordinary general meeting, and the class meeting.
  2. Meetings of directors: meetings of the Board and meetings of committees of directors.
  3. Other meetings: meetings of debenture holders, of creditors, and of creditors and contributories on winding up.

Types of resolutions.

  1. Ordinary resolution under Section 114(1): passed by simple majority where votes in favour exceed votes against, used to declare dividend, appoint auditors and elect directors.
  2. Special resolution under Section 114(2): passed by a three fourths majority with the intention stated in the notice, required to change the name, alter the articles, reduce capital or buy back shares.
  3. Resolution requiring special notice under Section 115: an ordinary resolution preceded by prior notice, for example to appoint an auditor other than the retiring one or to remove a director.

Quorum for meetings under Section 103. Quorum is the minimum number of members who must be present for a valid meeting. Unless the articles prescribe a larger number, a public company needs 5 members where membership is up to 1,000, 15 members where it is between 1,000 and 5,000, and 30 members where it exceeds 5,000. A private company needs two members personally present.

Conclusion. Company meetings are held by shareholders, directors and other stakeholders. Decisions are taken through ordinary, special or special notice resolutions, and every valid meeting must satisfy the quorum prescribed under Section 103.

Short Notes on Winding Up, Interim Dividend, Quorum and Auditor Rights

Exam question: Write short notes on any four of the following: (a) Winding up of a company (b) Interim dividend (c) Quorum (d) Rights of an auditor. (4 × 5)

(a) Winding up of a company. Gower describes winding up as the process whereby the life of a company is ended and its property administered for the benefit of creditors and members. A liquidator is appointed who collects assets, pays debts and distributes the surplus. Winding up is the prior stage and dissolution the final one. Under the 2013 Act a company is wound up by the Tribunal, while insolvency based liquidation falls under the Insolvency and Bankruptcy Code, 2016.

(b) Interim dividend. Interim dividend is a dividend distributed out of profits before the final accounts are passed and the final dividend is declared at the annual general meeting, as recognised in Section 123(3). It is declared by the Board out of the surplus in the profit and loss account or out of the profits of the year in which it is declared.

(c) Quorum. Quorum is the minimum number of members who must be present to constitute a valid meeting under Section 103. Unless the articles provide otherwise, a public company requires 5, 15 or 30 members personally present depending on whether membership is up to 1,000, between 1,000 and 5,000, or above 5,000. A private company requires two members.

(d) Rights of an auditor.

  1. Right of access to the books and accounts of the company at all times.
  2. Right to obtain explanations and information from officers of the company.
  3. Right to sign the audit report and to receive notice of general meetings.
  4. Right to visit branch offices and to claim remuneration.

Conclusion. Winding up ends a company's life through a liquidator, interim dividend is paid ahead of the final accounts, quorum keeps a meeting valid, and an auditor holds statutory rights of access, information, signature and remuneration.

Those five are yours to read at no cost. The remaining nine answers, covering the promoter, prospectus, debentures, transfer and transmission, membership, directors and the Company Secretary, come in the complete file.

How the BCOC 135 Solved Guess Paper Was Built from Six Previous Year Papers

Six IGNOU term end papers from June 2023 to December 2025 were read question by question, and every topic was logged into a grid before a single answer was drafted. That grid is what became the frequency table printed on the last page of the file.

The first pass was simple counting. Each of the twenty five recurring Company Law topics got a tick for the sessions in which it appeared. Meetings and quorum turned up in all six. Company Secretary duties turned up in five. Insider trading and NCLAT surfaced once each, which is why they sit at LOW and are named in the skip list rather than answered at length.

The second pass was gap hunting, and this is the part most guess papers skip. A topic that appeared four times and then went quiet for two sessions is often more valuable than one that appeared last December, because IGNOU rotates within a fixed pool. Lifting of the corporate veil and articles with indoor management both fall into that pattern, so both were promoted to HIGH.

Only then were the answers written, and written strictly from the IGNOU BCOC-135 textbook rather than from outside commentaries. That matters more in law than in most subjects, because an evaluator marking against a printed key rewards the book's own phrasing of Section 2(20), Section 43 or Section 103. If you want to see the raw papers the analysis came from, our IGNOU Previous Year Question Paper archive holds them session by session.

One honest caveat. A guess paper is a probability tool, not a leak. Nobody has the 2026 paper. What this file does is narrow twenty units of Company Law down to the fourteen questions that six years of evidence say are most likely to carry you past the pass mark, and then write those fourteen properly.

Block and Unit Index of BCOC 135 Company Law with Guess Paper Mapping

BCOC-135 Company Law runs across five blocks and twenty units, and the guess paper draws from every block. The index below shows what each block actually teaches and which guess paper questions sit inside it, so you can see the coverage rather than take it on trust.

Anyone who wants the underlying units before working through the answers can pick them up from our BCOC 135 Study Material page, which mirrors this same block ordering. Reading the unit once and then drilling the answer is a far better use of a week than reading the unit three times.

Frequency Analysis of BCOC 135 Important Questions from June 2023 to December 2025

Meetings and quorum appeared in all six papers analysed, membership and Company Secretary in five each, and directors in five, which is why these four sit at the top of the priority list. A tick marks an appearance and a cross marks absence.

Two patterns are worth pointing out. First, no single paper repeats the exact same five topics, so chasing only last December's paper is a losing strategy. Second, the LOW rated items are genuinely low value for a five question paper, and the file names them openly in its skip list instead of padding the page count with them.

BCOC 135 Company Law Exam Pattern, Marks Split and Word Targets

The BCOC-135 term end paper runs for three hours, carries 100 marks, and asks you to answer any five questions of 20 marks each, with the last question usually being short notes. This structure has held steady across the papers published on IGNOU's official question paper portal.

Because you attempt five out of nine, you do not need twenty units. You need enough certainty on nine or ten topics that five of them are guaranteed to be on the paper. That single arithmetic fact is the whole logic behind a guess paper, and it is why fourteen well written answers beat a 400 page book two weeks before the exam.

Marks and word target guide for answering BCOC 135 Company Law questions within three hours
MarksTarget lengthTime to allotStructure expected
20 marks (full question)About 450 words30 to 32 minutesDefinition, features or clauses as numbered points, one or two cases, conclusion
10 marks (part question)About 250 words15 minutesDefinition, four to six numbered points, one line conclusion
5 marks (short note)About 150 words7 to 8 minutesDefinition with section, two or three points, no case needed

Common split patterns seen in past papers include 2+10+8, 5+15, 10+10 and 4×5. Note the practical consequence: a 20 mark question is rarely one block of prose, it is usually two or three sub parts, so an answer written as one long paragraph is already losing structure marks before the content is read. You can cross check the pattern yourself on the IGNOU previous question paper portal and the unit text on eGyanKosh.

A Seven Day Revision Route Through the BCOC 135 Company Law Guess Paper

Seven focused days are enough to cover all fourteen answers if you take two questions a day and keep the last day for writing practice. The order below follows difficulty rather than block sequence, so the heavy conceptual topics land while you are fresh.

Seven day revision schedule for the BCOC 135 Company Law guess paper questions
DayQuestions to coverWhat to lock in that day
Day 1Q1 and Q2Nine features of a company, the two heads of veil lifting, and the six row public versus private table
Day 2Q4 and Q5Six memorandum clauses in order, Turquand's case facts, five exceptions to indoor management
Day 3Q7 and Q8Three pairs of preference share types, six debenture types, meaning of pari passu
Day 4Q13 and Q14Three resolution types with majorities, Section 103 quorum numbers, four short note openers
Day 5Q11 and Q12Five heads of director liability, Sections 35, 39 and 339, Company Secretary as officer in default
Day 6Q3, Q6, Q9 and Q10Promoter's fiduciary position, three prospectus types, transfer versus transmission table, five modes of membership
Day 7Full length writingWrite any five answers by hand in three hours with a clock running, then compare against the file

Day 7 is the one people skip and the one that decides the grade. Knowing an answer and producing 450 legible words of it in 30 minutes under pressure are two different skills, and only the second is tested in the hall.

Who Should Buy the BCOC 135 Guess Paper and Which Programmes It Covers

BCOC-135 Company Law is a core course in the Bachelor of Commerce family at IGNOU, covering BCOMG, BCOMF and BCOMOL learners. If your enrolment number sits under any of those programmes and Company Law is on your term end card, this file applies to you.

It is built for four situations in particular. The learner who started late and has two or three weeks left. The learner reappearing after a back paper who already knows the syllabus but not the answer format. The working student who cannot commit to reading twenty units. And the learner who reads well in English but writes slowly, and needs a model to copy the shape from.

It is honestly not for everyone. If you have three months and enjoy reading the blocks properly, read the blocks. A guess paper compresses risk, it does not replace study, and we would rather say that here than have you feel misled after buying.

Students taking two or three commerce papers in the same session usually pick up the wider BCOMG Guess Paper set rather than a single code, since the analysis method and answer format stay identical across courses and the revision habit transfers.

How to Get the Complete BCOC 135 Guess Paper with Answers on WhatsApp

Send a message on WhatsApp 9899436384 with your course code, and the complete sixteen page PDF is shared as a paid enquiry after confirmation. There is no account to create and no waiting list.

What you receive is the same document previewed on this page: all fourteen answers, the frequency grid, the exam pattern rules and the skip list. Five of those answers you have already read here, so nine remain, including promoter, prospectus, debentures, transfer and transmission, membership, directors and Company Secretary.

Message the number with three things and it moves faster: your course code BCOC-135, your programme (BCOMG, BCOMF or BCOMOL), and the session you are appearing in, June 2026 or December 2026. If you also want the BCOC 135 Solved Guess Paper alongside other commerce codes, mention those in the same message and they can be handled together.

FAQs on the IGNOU BCOC 135 Guess Paper and Company Law Preparation

The BCOC 135 guess paper holds fourteen answers, covers both the June 2026 and December 2026 sessions, and is delivered on WhatsApp 9899436384 after a paid enquiry. The eight answers below cover what students ask most often before they message.

Is the BCOC 135 guess paper valid for both June 2026 and December 2026?

Yes. The BCOC 135 guess paper is prepared for both the June 2026 and December 2026 term end examinations, because IGNOU draws Company Law questions from the same twenty unit pool in both sessions. The frequency analysis covers six papers from June 2023 to December 2025, which spans three June sittings and three December sittings, so neither session is favoured over the other in the topic selection.

How many questions does the BCOC 135 Company Law guess paper contain?

The file contains fourteen questions with complete answers across sixteen pages. Five of them are published in full on this page as samples, which leaves nine additional answers in the paid file. Since the actual BCOC 135 exam asks you to attempt any five questions out of nine, fourteen prepared topics gives you a comfortable margin even if two or three of them do not appear.

Are the BCOC 135 answers written from the IGNOU book or from outside sources?

Every answer is written strictly from the IGNOU BCOC-135 Company Law textbook. Definitions, section numbers, scholar names such as Gower and Palmer, and case citations like Salomon and Turquand are taken from the block text itself. This matters in law papers because evaluators mark against a printed key, and the book's own phrasing of Section 2(20) or Section 103 scores more reliably than a paraphrase.

Can I pass BCOC 135 Company Law by preparing only from this guess paper?

Many students do, but we will not promise it. The paper asks for any five answers out of nine, and fourteen well prepared topics historically covers that requirement. What the file cannot do is write for you. If you memorise definitions without practising a timed 450 word answer, marks still slip. Treat it as a targeted revision tool alongside at least one full length writing attempt.

Which IGNOU programmes include BCOC 135 as a course?

BCOC-135 Company Law is offered within the Bachelor of Commerce family, covering BCOMG, BCOMF and BCOMOL learners under the CBCS and NEP structures. It usually appears in the third semester of the general B.Com programme. If your term end card lists the code BCOC-135, the file applies regardless of which of those three programmes you are registered under.

What is the exam pattern for BCOC 135 Company Law?

The BCOC 135 paper runs three hours for 100 marks and asks you to answer any five questions, each carrying 20 marks. Questions are descriptive theory type and often split into sub parts such as 2+10+8, 5+15 or 10+10. The final question is generally short notes, where you attempt four sub parts of five marks each. There are no numerical problems.

Does the BCOC 135 pack include previous year question papers as well?

The guess paper itself is a solutions document rather than a question paper archive, though it carries a frequency table summarising six sessions. Actual BCOC 135 question papers from earlier sittings are maintained separately on our previous year paper section and on IGNOU's own question paper portal. Many students use both together, reading the analysis here and then attempting a real paper cold.

How is the BCOC 135 guess paper delivered after the enquiry?

Delivery happens over WhatsApp on 9899436384. Send your course code, programme and exam session, and the sixteen page PDF is shared after the paid enquiry is confirmed. There is no login, no portal and no shipping wait. Most enquiries are handled the same day, and you can ask follow up doubts on the same chat while you are revising.
